Whether you’ve created a corporation or limited liability company, you must maintain records. Here’s a primer on the basic corporate records you need to maintain.

Corporate Records

When forming a corporation or limited liability company, you are creating an entity independent from yourself. In so doing, this independent entity must take actions for itself, not you. For instance, a corporation will have a corporate bank account through which all revenues and debt payments are handled. As a shareholder, even with a single shareholder entity, you will not pay person expenses out of the corporate bank account. This concept extends to record keeping.

For the purpose of this article, I am considering both corporation and limited liability company documents as ‘corporate records.’ Although the records of each entity have different names, they serve the same purpose. For instance, articles of incorporation for a corporation serve the same purpose as Articles of Organization. The following list applies to corporations, but you can apply the list to the limited liability equivalents.

Although each state has different records requirements, all require you to keep the following records.

1. Articles of Incorporation – The charter establishing the existence of the entity with the relevant Secretary of State.

2. Bylaws – The rules of the corporation. Essentially, the bylaws set out how the corporation will be administered from a procedural perspective, the rights of shareholders, how meetings will be called and so on.

3. Board Resolutions – These are resolutions passed by the Board of Directors from time to time, such as defining classes of corporate stock and approving particular courses of action for the business.

4. Minutes of Shareholder Meetings

5. Annual Meeting – Every state requires a corporation to have at least one meeting of the board of directors each year. Keep these in your corporate book.

6. Shareholder Communications – Copies of all communications to shareholders. Most states require you to hold these for three years, but you should keep these permanently to guard against future shareholder lawsuits.

7. Shareholders – A list of shareholders and the shares they own.

8. Annual Report – Most states require you to file an annual or bi-annual report with the Secretary of State. Keep copies of these in your corporate records. Most states provide a pre-printed form.

9. Balance Sheets – Shareholders have the right to inspect the finances of the corporation, although this right has limitations. You need to keep up to date balance sheets.

10. Tax Returns

So, how long should you keep these corporate records? Some attorneys will tell you three or five years. Personally, I believe you should keep them permanently. If a shareholder dispute occurs, you don’t want to testify you through away a document. If the business is eventually sold, the buyer is going to want to see all corporate records. Either way, you are better off holding on to all records.

3. Use Interactive Scripts Place interactive JavaScripts and platforms on your own sites. Have membership forums, polls, blogs, feedback forms, user-contributions… to build unique content driven sites. Become the spider!

4. Tagging (Folksonomy) Be constantly aware of the tags (keywords) you’re creating with your blogs and sites. This can have a very beneficial effect on your traffic and rankings. Closely relate these tags to the content on your sites and build higher rankings in all the major search engines.

5. The Long Tail Especially important for affiliate marketers, you need to cover special niches where there is less competition and content. These narrow niches make up a large portion of the whole vast web, creating content in these unique areas will get your site included in the search engines a lot quicker and keep them there a lot longer.

6. Holistic Web 2.0 Be constantly vigilant in placing your sites in the whole ‘Interactive Game’, building links and partnerships with the important YouHubs: MySpace, Del.icio.us, YouTube, Digg, Squidoo… the more connections you have, the more your own sites will prosper.

When starting an internet business or service one of the goals which should be foremost in the mind of the owner is how to achieve the top ranking in Google for the service or product that you are offering.

It’s a dream come true for a webmasters site to appear at the top of Google’s search results, especially if the website is actually selling a product or service. In a competitive industry this would mean that the orders would start rolling in with such a force that the business would grow incredibly quickly. Is it all just a dream? NO! I’ve done it for hundreds of businesses and you can do it for yourself too.

The first and foremost task when trying to get your site to the top of Google is to start link building, not just any old link building but having your keywords included in your "anchor". Anchor links are when the links are actually clickable, if for example you were selling green buttons the link would not be a www link. It would actually say "green buttons".

The next step is choosing the correct keyword phrases for your site. Now most people want to be on the first page of Google for a one word phrase like "Buttons". However, if you only sold buttons made of silver, it would be bringing you the wrong type of customer. It would be best to choose keyword phrases like "Silver Buttons" or "Buttons made of Silver". This would bring you the right type of customer and it your Search Engine Optimisation (SEO) efforts would show results a lot quicker.

Integrate the keyword phrases throughout your site with your best ones on your homepage. Without the keywords on your site, your site will not perform at all.

The next step is to actually go out and get some back links to your site, be smart about whom you get links from, as websites that are relevant to your industry will have far more weight when it comes to giving you good results. Getting a few powerful links with a page rank of 6 or 7 will give you almost immediate results and I have personally seen websites make it onto the first page within a couple of days.

Still to be on the safe side the insertion of meta-tags into your copy should still probably be an essential component of your search engine positioning strategy.

One reason that this has become a topic of debate is because in the early days of online internet business and search engine rankings, meta tags were used as the key ranking value. Firms seeking traffic then used to perform "key word stuffing" of the meta tags to drive traffic to pages and sites that did not have content based on those meta tags and, as a result, this tag became less relevant to search engines.

Yet another strategy is to also put in as many links as you can to other websites as the search engine spiders love sites that contain lists of links to other sites and rank them higher in the search engine ranking pages. The higher your ranking is, the more money you will make as a web business as you will maximize the number of visitors to your web site.
